Affiliate Signup Page

1.  APPLICANT hereby applies for authorisation as an Affiliate in the  ‘MIND MATTERS’ independent Affiliate programme & certifies that Applicant is of legal age in the same state in which Applicant resides.  ‘MIND MATTERS’ reserves the right to accept or reject any application for any reason. ‘MIND MATTERS’ will notify you of your application's success within 7 days of receiving this Application. APPLICANT is fully aware that there is no cost involved in becoming or maintaining an active annual Affiliate.
 
2.  Upon acceptance as an Affiliate by ‘MIND MATTERS’, APPLICANT is authorised as an Affiliate for a period of 12 months from Application acceptance.  There is an annual renewal application necessary to keep your Affiliate membership active.  You must reapply for your annual Affiliate membership to receive all the benefits of your current ‘MIND MATTERS’ Independent Affiliate membership. If you fail to reapply within 30 days of your annual renewal notice renewal date then all benefits will be lost including any accumulated.  You may reapply anytime after the 30 days of your renewal notice but you will not be entitled to commissions or any affiliate members linked by referral.

3. APPLICANT will not produce, promote, or use materials of any kind describing ‘MIND MATTERS's names, programs, information, products, services and trademarked, copyrighted or otherwise protected materials if such materials are not obtained from or approved of in writing by ‘MIND MATTERS’. ‘MIND MATTERS’ provides approved marketing materials within the Affiliate Log In area that are able to be used for the legal promotion of any products within the Affiliate Program.

4.  APPLICANT has read, understands, and agrees to be bound by the terms of this agreement which includes all rules, policies, procedures and royalty/compensation programs of ‘MIND MATTERS’ as set forth in official ‘MIND MATTERS’ Policy and Procedures, which are hereby incorporated and made part of this agreement, in their current form and as they may be amended through ‘MIND MATTERS’s official amendment process. The most current and up to date Policies and Procedures are available to read in your own online personal Affiliate’s Website area once you have logged in successfully using your username and password.

5.  APPLICANT is an independent Affiliate under the terms of this Agreement, and not an agent, employee or legal representative of his/her referee or ‘MIND MATTERS’ and will in no way represent him/herself as such.  APPLICANT will not be treated as an employee, agent or legal representative.

6.  The signature(s) on this Application & Agreement agree(s) that he/she/they is/are authorised to bind APPLICANT.

7.  Venue and jurisdiction for any action pertaining to this Agreement of any disagreement or claim between the parties hereto shall be in the State of Queensland, Australia.  APPLICANT understands and agrees that except as set forth in the Policies and Procedures, all claims and disputes relating to this Agreement, the rights and obligations of the parties or any other claims or causes of actions relating to the performance of either party under this Agreement and/or Applicant's purchase of products shall be settled totally and finally by arbitration in the City of Brisbane, State of Queensland, in accordance with the Federal Arbitration Act.

8.  Any and all costs, including Solicitor's fees, incurred by ‘MIND MATTERS’ as a result of any violation of this Agreement or any other dispute between parties hereto shall be borne by APPLICANT.  In the event that this Agreement at any time, for any reason is determined to be voided or superseded, the provisions of this paragraph shall survive.

9.  The APPLICANT shall be entitled to cancel their Affiliate Agreement at any time and for any reason upon notice to ‘MIND MATTERS’.  Upon notification of cancellation or termination, ‘MIND MATTERS’ will confirm the cancellation or termination via a letter or email dated the cancellation or termination date. ‘MIND MATTERS’ reserves the right to terminate any Affiliate for cause, as outlined in this agreement and the up to date Policies and Procedures.

11.  No purchase or product investment is necessary to become an ‘MIND MATTERS’ Affiliate. Although from time to time, MIND MATTERS may advertise promotional items which may include, as an add on, discounted or no cost membership to the ‘MIND MATTERS’ Affiliate Program. In the case of promotional items, purchases of the promoted item will then entitle the purchaser to the discounted or no cost ‘MIND MATTERS’ Affiliate membership and can fill out a required Application for approval.

12.  Any proprietary information, inside knowledge of business operations with in ‘MIND MATTERS’ that may be disclosed to you as an Affiliate is to remain confidential. Any Details of Affiliates that are disclosed to you within the Affiliate Log In area are required to be kept confidential and you agree to do this at all times and abide by the Privacy Act’s requirements.

13.  This Agreement constitutes the entire agreement between the APPLICANT and ‘MIND MATTERS’ and no other additional promises, representations, guarantees or agreements of any kind shall be valid unless in writing.  APPLICANT agrees to indemnify and hold ‘MIND MATTERS’ harmless against any claim, costs, damages, losses, liabilities and expenses (including legal fees) arising from or connected with directly, any breach of this Agreement, the Policies and Procedures or other conduct by APPLICANT.

14. All Affiliate Commissions paid will be paid between 30 – 60 Days after a purchase has been made in accordance with our 30 or 60 Day money back guarantee. Commissions will be paid to a PayPal Account or an Australian Bank Account only and will be paid once a minimum of AUD$50.00 is due to be paid to you. An AUD$1.25 Statement Fee applies to all Commission Statements when being paid.
